By accessing, browsing, or using the Celly web application, creating a celebration edition, or submitting memories, photos, and messages as a contributor, you agree to be bound by these Terms of Service (“Terms”) and our Privacy Policy. If you do not agree with any part of these Terms, you must not use Celly.
2. Eligibility & Account Responsibilities
To use Celly as a registered celebrant:
- You must be at least 13 years of age (or the minimum age required in your jurisdiction).
- You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.
- You agree to provide accurate and authentic information during registration.
3. Contributor Conduct & Guidelines
Celly is built to celebrate real human relationships with warmth, affection, and thoughtfulness. When submitting letters, timeline moments, ratings, or media to any celebrant’s edition, you agree that you will not submit content that:
- Contains harassment, hate speech, defamation, threats, or deliberate malice.
- Includes explicit, non-consensual, sexually explicit, or unlawful imagery.
- Infringes on the intellectual property, copyright, or publicity rights of any third party.
- Uploads viruses, malicious scripts, or data designed to impair the platform.
We reserve the right to review, moderate, or remove any content that violates these guidelines, and to terminate access for abusive accounts.
4. Intellectual Property & License
Your Content Remains Yours: You and your contributors retain all intellectual property rights in the photos, text, and media submitted to Celly.
Limited License to Celly: By submitting content, you grant Celly a non-exclusive, worldwide, royalty-free license solely for the purpose of operating, rendering, formatting, and presenting the annual digital birthday editions and generating preview media for you and your recipients.
5. AI-Assisted Editorial Features
Celly incorporates generative AI to synthesize celebration themes, editorial cover headlines, and closing letters based on the memories and dispatches submitted by your loved ones. While our algorithms aim to reflect heartfelt sentiments accurately, AI-generated text is provided for creative enjoyment and storytelling. Celebrants may edit, adjust, or override these themes within their dashboard.
6. Service Availability & Modification
We strive to keep Celly available 24/7/365, but we do not guarantee uninterrupted or error-free operation. We reserve the right to modify, update, enhance, or temporarily suspend aspects of the service for maintenance, security upgrades, or feature enhancements.
7. Disclaimers & Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, CELLY IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. IN NO EVENT SHALL CELLY, ITS FOUNDERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING OUT OF YOUR USE OF THE SERVICE OR LOSS OF DATA.
8. Termination & Changes to Terms
We may revise these Terms from time to time. When changes are made, we will update the “Last updated” date at the top of this document. Continued use of Celly after any modifications constitutes acceptance of the revised Terms. You may terminate your agreement at any time by deleting your account.
